About this opportunity Fundamentally, as a Corporate Lawyer and Assistant Company Secretary , working closely with the General Counsel and Company Secretary and three other lawyers in the team, this role is to provide specialised legal advice on obligations/rights, representation in litigious matters and advise on corporate governance, also assisting with the company secretariat requirements. The successful appointee will have accountability across key areas including:- Legal Advice; Dispute Resolution; Legal Review (Compliance); Corporate Governance; Corporate Insurance, with a high level of autonomy in decision-making to achieve desired outcomes and has direct access to the executive team for collaboration/consultative purposes. As a trusted legal advisor to the Executive Team , some of the day to day responsibilities include:- Legal aspects:- Addressing requests for legal advice -identifying legal issues; researching & drafting, make recommendations and provide referrals; Develop, review and advise on policies, providing options/strategies in consultation with the General Counsel. Identify and respond to new and emerging legislative and regulatory changes Draft deeds, agreements and contracts; Manage and defend litigation matters, including preparation of briefs and instructing external counsel as required As an Assistant Company Secretary :- Critical to the delivery of the organisations corporate governance program, this role will also involve:- Contributing to the development and preparation of the Board Calendar/Agenda; Drafting minutes of meetings, company and shareholder resolutions Providing advice as to best practice corporate governance Preparation of statutory notifications to regulators.
