This leading ASX Listed Resources Company is looking for a General Counsel and Company Secretary. You will be joining a highly skilled management team This is an exciting time to be joining this leading resources company as they move into the project development stage. The group is now looking to appoint a General Counsel and Legal Secretary. You will work alongside a highly skilled management team with a strong track record of success. This role will be part of the Executive Management Team and you will play a leading role in the company. The Role As General Counsel and Company Secretary you will lead the legal department and ensure the efficient management of this division. You will provide legal advice to the organisation, manage all legal and contractual risk and manage external legal providers. You will ensure that best practice corporate governance is maintained across all facets of corporate activities. Your matters will include: Providing legal advice to the Board of Directors and Senior Management upon all areas of law and corporate governance; ASX compliance and liaising with the ASX, ASIC and the share registry; Company Secretarial Responsibilities, including ASX announcements and ASIC filings; Arranging Shareholder, Board and Committee Meetings and preparing agendas and minutes; Managing all commercial contracts relating to operations; General corporate and commercial transactional law matters; Analysing key legal risks and managing insurance; Advising upon project matters and Native Title matters; Occupational health and safety and employment law matters; Drafting, reviewing and ensuring compliance with policies and procedures. Your Background In order to be successful in this role, you will have a strong background in corporate and resources law with a minimum of 10 years of post qualification experience. You will have experience in equity capital markets and a strong understanding of the Corporations Act and corporate governance. Ideally, you will have previous experience in a similar role working within the resources sector. You will possess strong commercial acumen and will have the ability to work with flexibility in a fast paced environment. You will have a strategic approach and have well developed interpersonal skills.
