Role We are seeking an experienced Legal and Corporate Compliance Officer preferably with Latin American experience to join Leydin Freyer a dynamic, entrepreneurial professional services firm located in South Melbourne (flexible work from home policy). Specialising in the provision of outsourced accounting, company secretarial and corporate compliance functions to over 80 entities in the energy, resources, biotechnology, technology and healthcare sectors, we offer attractive remuneration, professional development and career advancement. Reporting to the Director, the successful candidate will be responsible for managing a portfolio of clients including companies with entities in South America to ensure corporate compliance. Job Description The role provides the benefit of working in a professional service environment whilst also having exposure to working in industry. As a trusted partner to clients, the ideal candidate will possess the requisite knowledge to undertake the following matters: Undertaking legal research; Evaluating company legal and compliance requirements including legislation and regulations; Preparing and drafting legal and compliance documents; Advising company personnel, secretaries and corporate officials on legal, compliance and regulatory matters; Preparing and reviewing legal documents; Advising on relevant company law and other statutory requirements. Preparation of Prospectus’ and offer documents Maintenance of statutory records for the Group’s entities and all subsidiaries including preparation and lodgement of ASIC forms Preparation of Corporate Governance Documents Management of clients’ Annual General Meetings and General Meetings You will be working directly with the Company Secretarial team and reporting up to Director level. You will develop strong relationships with key stakeholders throughout the business. The successful candidate will be highly motivated and focused.
